1. Agreement to Terms

By accessing or using any services operated by Neue Alchemy, LLC ("Neue Alchemy," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.

These Terms apply to all of our Services, including:

• neuealchemy.io: Our firm website
• neuealchemy.com: Our brand website
• Signal + Noise: Our intelligence briefing and newsletter platform
• Monarch: Our AI-powered career platform
• Alchemist Network: Our professional network and membership program
• Related sites, applications, and services operated by Neue Alchemy

We refer to all of these collectively as the "Services." Certain Services have additional terms described in the sections below. Those additional terms are part of these Terms.

2. Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent that you meet this requirement. If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Your Account

3.1 Registration

Some features of our Services require you to create an account. You agree to provide accurate and complete information during registration and to keep your account information current.

3.2 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 One Account Per Person

Each account is for a single individual. You may not share your account credentials with others or create multiple accounts.

4. Your Content

4.1 Ownership

You retain all ownership rights to content you create, upload, or provide through our Services ("Your Content"). This includes resumes, cover letters, career profiles, interview responses, generated content, notes, and any other materials you create or store on our platform.

Neue Alchemy does not claim ownership of Your Content.

4.2 License to Neue Alchemy

By using our Services, you grant Neue Alchemy a limited, non-exclusive, revocable license to use, store, process, display, and transmit Your Content solely as necessary to:

• Operate, provide, and maintain the Services
• Process Your Content through AI services on your behalf (such as resume generation, interview evaluation, and content creation)
• Display Your Content back to you within the Services
• Create aggregated, de-identified data to improve our Services (as described in our Privacy Policy)

This license does not grant Neue Alchemy the right to sell, publish, or distribute Your Content, or to use it for purposes unrelated to providing the Services. This license is sublicensable only to third-party service providers (such as AI model providers) as necessary to deliver features you have requested.

4.3 License Termination

The license described in Section 4.2 terminates when you delete Your Content or close your account, except as required to comply with legal obligations, enforce these Terms, or as otherwise described in our Privacy Policy.

4.4 Your Responsibilities

You are solely responsible for Your Content. You represent that you have the rights necessary to grant the license in Section 4.2, and that Your Content does not violate any applicable law or third-party rights. You agree not to upload content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.

5. AI-Generated Content

5.1 Nature of AI Output

Our Services use artificial intelligence to generate content such as resume drafts, cover letters, interview questions, career coaching responses, and other written materials. AI-generated content is provided as a starting point for your review and editing, not as a finished product or professional advice.

5.2 No Guarantees

We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You are responsible for reviewing, editing, and verifying all AI-generated content before using it for any purpose, including job applications, professional communications, or business decisions.

5.3 Ownership of AI-Generated Content

AI-generated content created through your use of the Services is treated as Your Content under Section 4. You may use, modify, and distribute it as you see fit, subject to applicable law.

5.4 AI Limitations

Our AI features do not make hiring decisions, contact employers or third parties on your behalf, or guarantee any employment or business outcome. AI-generated content may contain errors or inaccuracies.

6. Service-Specific Terms

6.1 Signal + Noise

Subscription. Signal + Noise may be offered on a free or paid subscription basis. Paid subscribers receive access to additional content and features as described on our website.

Editorial Content. Signal + Noise briefings, analyses, and commentary reflect the views and analysis of Neue Alchemy. They are provided for informational purposes only and do not constitute investment, legal, or professional advice.

Intellectual Property. Signal + Noise content (including articles, briefings, analyses, and editorial commentary) is owned by Neue Alchemy and protected by copyright. You may read and share links to published content. You may not reproduce, republish, or redistribute Signal + Noise content without our written permission.

6.2 Monarch and the Alchemist Network

Career Tools. Monarch provides AI-powered career tools including resume generation, interview practice, content creation, job discovery, and application tracking. These tools are provided to assist your career development. They do not guarantee employment outcomes.

Interview Practice. If you use voice-based interview practice, audio recordings are processed through third-party transcription services and then deleted. Transcripts and performance scores are retained in your account. You may delete them at any time.

Membership Tiers. Access to Monarch and the Alchemist Network may be offered across multiple tiers (free, paid, and invite-only), each with different features and usage limits. Tier details and pricing are described on our website and may change with notice.

Usage Limits. Free and paid tiers are subject to usage limits on certain features (such as resume generations, interview sessions, and content creation). Usage limits are enforced per billing period and reset accordingly.

Network Conduct. As a member of the Alchemist Network, you agree to engage professionally and respectfully. We reserve the right to suspend or terminate accounts that violate these standards.

6.3 Client Services

If you are a client of Neue Alchemy receiving advisory, consulting, or build services, your engagement is governed by a separate agreement (such as a Statement of Work or Master Services Agreement). These Terms govern your access to our platform and digital Services only, not the terms of your client engagement.

6.4 Firm Website

The firm websites (neuealchemy.io, neuealchemy.com) are provided for informational purposes. No account is required to view public content. Standard intellectual property and acceptable use provisions of these Terms apply.

7. Payments and Subscriptions

7.1 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method at the applicable rate.

7.2 Price Changes

We may change subscription prices with at least 30 days notice. Price changes take effect at the start of your next billing period after the notice.

7.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to paid features until the end of that period.

7.4 Refunds

Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to a service issue, contact us at support@neuealchemy.io and we will review your request.

7.5 Free Tiers

Free access to our Services may be modified, limited, or discontinued at any time without notice.

8. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law or regulation
• Infringe the intellectual property or privacy rights of others
• Upload or transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape, crawl, or use automated means to access our Services without our written permission
• Use our Services to send unsolicited communications (spam)
• Interfere with or disrupt the integrity or performance of our Services
• Misrepresent your identity or affiliation
• Use AI-generated content from our Services to mislead others about its origin
• Reverse engineer, decompile, or disassemble any part of our Services

We reserve the right to suspend or terminate your account for violations of these Terms.

9. Intellectual Property

9.1 Neue Alchemy Property

Our Services, including all software, designs, text, graphics, logos, and other materials (excluding Your Content), are owned by Neue Alchemy and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our property without our written permission.

9.2 Trademarks

"Neue Alchemy," "Signal + Noise," "Monarch," "Alchemist Network," and associated logos and marks are trademarks of Neue Alchemy, LLC. You may not use our trademarks without our prior written consent.

9.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant Neue Alchemy a non-exclusive, royalty-free, perpetual, irrevocable license to use that feedback for any purpose without obligation to you.

10. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using our Services, you acknowledge that you have read and understood our Privacy Policy.

11. Third-Party Services

Our Services integrate with third-party services (such as AI model providers, payment processors, and hosting providers). Your use of these third-party services may be subject to their own terms and privacy policies. We are not responsible for the practices of third-party services.

12. Disclaimers

12.1 Services Provided "As Is"

Our Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 No Professional Advice

Our Services, including AI-generated content, career tools, and intelligence briefings, are provided for informational and productivity purposes only. They do not constitute professional advice, including legal, financial, medical, or employment advice. You should consult qualified professionals for advice specific to your situation.

12.3 No Employment Guarantees

Use of Monarch, the Alchemist Network, or any career-related features does not guarantee employment, interviews, or any specific career outcome.

13. Limitation of Liability

To the maximum extent permitted by law, Neue Alchemy and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of our Services.

Our total liability for any claims arising from or related to these Terms or our Services will not exceed the greater of (a) the amount you paid to Neue Alchemy in the 12 months preceding the claim, or (b) $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless Neue Alchemy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Services
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to its conflict of law provisions.

15.2 Jurisdiction

Any disputes arising from or related to these Terms or our Services will be resolved exclusively in the state or federal courts located in Multnomah County, Oregon. You consent to the personal jurisdiction of these courts.

15.3 Informal Resolution

Before filing any legal claim, you agree to first contact us at legal@neuealchemy.io and attempt to resolve the dispute informally for at least 30 days.

16. Termination

16.1 By You

You may close your account at any time by contacting us or through your account settings. Closing your account terminates your right to access the Services.

16.2 By Neue Alchemy

We may suspend or terminate your account at any time for any reason, including violation of these Terms. We will make reasonable efforts to provide notice before termination, except where immediate action is required to protect the Services or other users.

16.3 Effect of Termination

Upon termination, your right to use our Services ceases immediately. Sections that by their nature should survive termination will survive, including Sections 4.1 (ownership), 9 (intellectual property), 12 (disclaimers), 13 (limitation of liability), 14 (indemnification), and 15 (dispute resolution).

Your Content will be handled as described in our Privacy Policy, including deletion within 30 days of account closure.

17. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you through the Services or by email at least 30 days before the changes take effect. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

If you do not agree with the changes, you may close your account before the changes take effect.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Neue Alchemy regarding our Services.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

18.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. Neue Alchemy may assign these Terms in connection with a merger, acquisition, or sale of assets.

18.5 Notices

We may provide notices to you through the Services, by email, or by other reasonable means. Notices to Neue Alchemy should be sent to legal@neuealchemy.io.
